1 — Service Scope
MEPLegacy is software licensed to engineering firms for capturing and surfacing internal project knowledge. Scope, deployment method, and included products are defined in your order form or pilot agreement. These Terms govern all use unless a signed agreement says otherwise.
2 — Subscription and Fees
Subscriptions are billed per the term stated in your order form. Fees are due on the schedule set out there. Pilot engagements run for the stated period with no obligation to continue. Renewal terms and any fee changes are set in your agreement.
3 — Your Data
You retain all rights to the project files, drawings, submittals, and records you process with MEPLegacy. In self-hosted deployments the software runs on your infrastructure and your content is not transmitted to us. We claim no license to your content beyond what is needed to provide support you request.
4 — Intellectual Property
We retain all rights in the MEPLegacy software, interfaces, and documentation. You receive a non-exclusive, non-transferable license to use it for your firm's internal business during your subscription term. You may not copy, reverse engineer, resell, or sublicense the software.
5 — Deployment and Support
MEPLegacy is deployed on customer-controlled infrastructure unless your agreement states otherwise. Support scope, response targets, and update cadence are defined in your agreement. You are responsible for your own environment, backups, and access controls.
6 — Confidentiality
Each party protects the other's confidential information with at least reasonable care and uses it only to perform under the agreement. Your project data, client names, and fee information are your confidential information. We will sign a customer NDA on request.
7 — Acceptable Use
You may not use MEPLegacy to violate law, infringe third-party rights, or process data you lack authority to process. You are responsible for your users' compliance with these Terms.
8 — Term and Termination
Either party may terminate for material breach not cured within thirty days of written notice. On termination your license ends and you stop using the software. Self-hosted data remains in your possession. Fees paid are non-refundable except as your agreement provides.
9 — Warranties and Disclaimers
We warrant that the software will perform materially as documented during your subscription. Except as expressly stated, the software is provided "as is" and we disclaim all other warranties to the extent permitted by law. MEPLegacy supports engineering review; it does not replace professional judgment, and the licensed engineer of record remains responsible for all design decisions.
10 — Limitation of Liability
Neither party is liable for indirect, incidental, or consequential damages. Each party's total liability is capped at the fees paid in the twelve months before the claim. These limits do not apply to breaches of confidentiality, indemnification obligations, or either party's willful misconduct.
11 — Governing Law
These Terms are governed by the laws of Delaware, without regard to conflict of law rules. Disputes are resolved in the courts of [venue].
12 — Changes and Contact
